    Exista acquires Fabrimex for growth in high-end power supplies

    Fehraltorf-basedExista has acquired Fabrimex, according to a media release. Both companies have been active for many years as developers of power supply solutions and are combining their expertise and product range. The merger will be retroactive to 1 January 2023.

    Exista focuses on customised, high-quality power supplies, battery and LED system solutions for customers in industry, railway and medical technology. It has networks with partners and suppliers in Europe, the USA and Asia. With the merger, the owner-managed company, founded in 1988, is aiming for new growth. “Through the combination of customer and supplier relationships, the expanded product portfolio and the combined forces in sales, service and support, we are further expanding our leading position in high-quality power supplies and individual solutions,” Ernst Roth, Managing Director of Exista AG, is quoted as saying.

    Fabrimex has been a provider of power supply solutions since 1947 and produces DC/DC converters, power supplies and inverters. In Switzerland, the company is present through trade brands: Glassman HighVoltage (high voltage supplies), FSP, EPSolar, Hoppecke and others. Fabrimex belonged to the international holding Werap since 2007 and until its takeover by Exista. Fabrimex is transferring its power supply business to Exista.

    Both companies are headquartered in the Zurich Oberland and are to continue as independent companies after the acquisition. 100 percent of the shares in Fabrimex AG will go to Exista AG. The parties have agreed not to disclose the purchase price.

    The comprehensive digital product and solution portfolio is the main driver for Siemens’ positive business development in Switzerland. “With our technology, we connect the digital world with the real world,” says Matthias Rebellius, who is responsible for Switzerland on the global Siemens Managing Board. “The new digital business platform Xcelerator enables our customers to massively accelerate their digital transformation. Digital solutions are also the key to an efficient energy supply or to making building and industrial infrastructure more sustainable,” explains Rebellius.

    Gerd Scheller, Country CEO of Siemens Switzerland, is satisfied with the course of business and looks to the future: “With the development of modern digital solutions, many job profiles are changing. Here we are focusing on the training and development of our employees and also investing in the next generation.” In the current fiscal year, Siemens has greatly expanded the so-called “Kids Coding Days”. By the end of the year, around 400 children in Switzerland will have completed such an introduction to the world of programming. “The feedback from pupils and parents on the events already held is very positive,” says Gerd Scheller. Another example is the Siemens Excellence Award, in which the best diploma theses from Swiss universities of applied sciences are awarded an attractive prize.” More than 3,500 people took part in the first-ever public voting. As part of its Generation21 education programme, Siemens is also involved in numerous other support projects in Switzerland, especially to promote women in technical professions.

    Siemens is present in all parts of the country and at over 20 locations and has a strong market position in building technology and energy distribution (Smart Infrastructure) in industry (Digital Industries) as well as in the software business for industrial customers (Siemens Digital Industries Software). Siemens also has a leading market position in Switzerland in railway technology (Siemens Mobility). The independent companies Siemens Energy and Siemens Healthineers are present in Switzerland as leading providers of power generation and medical technology respectively.

    The global activities of Siemens Smart Infrastructure (SI) are managed from the headquarters in Zug. Matthias Rebellius is CEO of this global business with over 72,000 employees. The SI headquarters, which employs around 1700 people, will be completed next autumn. In recent years, the company has invested a total of CHF 250 million in the new Siemens campus, which will be operated in a climate-neutral manner.

    Merger of Credit Suisse and UBS

    Credit Suisse and UBS entered into a merger agreement on Sunday under which UBS will be the continuing entity. Following the negotiations that took place over the weekend and led to the signing of the merger agreement, UBS and Credit Suisse have concluded that a merger is in the best interests of their shareholders and stakeholders. The Federal Department of Finance, the Swiss National Bank and FINMA had previously required the two companies to complete this transaction in order to restore the necessary confidence in the stability of the Swiss economy and the Swiss financial centre.

    The merger is subject to the following material conditions:

    • All Credit Suisse shareholders will receive 1 UBS share for 22.48 Credit Suisse shares in exchange for the merger. This exchange ratio corresponds to an acquisition price of CHF 3 billion for all Credit Suisse shares.
    • The merger is subject to customary closing conditions. Both parties are confident that all conditions can be fulfilled. The merger is expected to be completed, if possible, by the end of 2023.
    • The Swiss National Bank will provide Credit Suisse with access to facilities through which it will receive substantial additional liquidity.
    • It is expected that, in order to ensure a smooth integration of Credit Suisse into UBS, UBS will appoint employees to key positions at Credit Suisse as soon as legally possible.
    • Credit Suisse will continue its business as usual and implement its restructuring measures in cooperation with UBS.
    • UBS has expressed confidence that Credit Suisse employees can continue to be employed.

    Credit Suisse was informed on Sunday by FINMA of its decision that Credit Suisse’s Additional Tier 1 capital (arising from the issuance of Tier 1 capital notes) in the aggregate principal amount of approximately CHF 16 billion will be written down to zero.

    Taking into account the special circumstances affecting the Swiss economy as a whole, the Federal Council issues an emergency ordinance tailored to this specific transaction. It should be noted that the merger is being carried out without the otherwise required approval of the shareholders of UBS and Credit Suisse in order to increase transaction security.

    Axel P. Lehmann, Chairman of the Board of Directors of Credit Suisse, said: “The announced merger represents the best possible outcome given the extraordinary and unprecedented circumstances. Credit Suisse has been through an extremely difficult period. Although the team has worked tirelessly to clean up many significant legacy issues and implement the new strategy, today we are forced to adopt a solution that will deliver a sustainable outcome.”

    Andrea Leu will lead Group of Fifteen from July 1st

    As of July 1st, the Group of Fifteen association will be headed by Andrea Leu. According to a media release from the merger of 24 companies in the real estate industry, the founder of the association, Heinz Specker, is stepping down as Managing Director of the Group of Fifteen after 20 years. He founded the club in 2002 together with Marina de Senarclens. Since then, Specker has established it as an important exchange platform for the Swiss real estate industry.

    “Heinz Specker, together with the board, positioned the Group of Fifteen as an important think tank. I will continue his work and take up topics that will have a significant impact on the future of the Swiss real estate industry and discuss their consequences for the industry," Andrea Leu is quoted as saying.

    The new managing director is the managing partner of Senarclens, Leu + Partner AG . The communications agency is active in the fields of technology, education and science. According to the press release, Leu is very familiar with the Group of Fifteen. Her agency has been responsible for managing the office since the founding of the Group of Fifteen and she organizes the annual symposium with around 400 participants.

    The date for the next symposium is already mentioned in the association's newsletter. The 22nd symposium of the Group of Fifteen will take place on January 25, 2023 in the garden hall of the Kongresshaus Zurich. The motto is: "I commute – therefore I am?!"
